INTEGRITY

Honest Business Conduct
Mascoat expects that all our partners conduct business fairly and with integrity, the same way that we do. Like us, they will not make, offer or authorize bribes, or conduct any form of unethical business practice. They do not make facilitation payments of any kind. Entering into a business transaction for Mascoat and accepting certain terms and conditions may not be influenced by gifts or entertainment. Our employees and partners do not offer gifts or entertainment of more than modest value. They never offer cash or cash equivalents, such as gift cards, to our customers and other influencers in the buying process. Mascoat strictly adheres to the Foreign Corrupt Practices Act of 1977, the UK Bribery Act, and OECD Anti-corruption Convention, and other similar worldwide statutes. Anyone purchasing from us shall comply with all applicable laws and regulations, including but not limited to, the Foreign Corrupt Practices Act, the anti-money laundering provisions of the USA Patriot Act and Bank Secrecy Act, and United States export control laws. Buyers shall not sell, export, re-export, transmit, divert or otherwise transfer any goods or products into or through Cuba, Iran, Sudan, Syria, North Korea, Crimea or any other prohibited jurisdiction, or with or to any party listed on any United States Government or European Union blocked-persons list, as amended from time to time.

Trade Controls
It is essential that our partners comply with export control regulations applicable to their business and locale, and that they provide accurate and truthful information about it to customs and other authorities when required. They will identify and manage trade restrictions applicable to their business with Mascoat, including those of sanctioned countries and parties. We adhere strictly to rules and regulations set out in US Department of Justice and OFAC requirements.

Proper Communication
Factual and timely communication between Mascoat and our partners is essential to a strong relationship. They will not disclose our confidential information without permission, and we will not disclose theirs. They consider business communications carefully and ensure that they meet high standards.

SAFETY

People Safety
Like Mascoat, the workplace our partners provide must be safe. Employees and contractors must be made aware of safety rules and instructed to apply them at all times, while at work, visiting customers or travelling. There is a process in place to manage safety incidents.

Process Safety
It is important that our partners systematically assess and control the operational risks of hazards, injuries, waste or harm resulting from their activities for us, such as research, manufacture and transport. Their employees and contractors must follow safety procedures, and safety risks and incidents must be reported and controlled promptly.

Product Safety
Our partners must comply with product safety regulations, label products properly and communicate product-handling requirements. Products supplied to Mascoat, and the raw materials used to manufacture these products, meet all applicable product regulatory requirements.

Compliance With Instructions
Our business partners are expected to comply with all applicable instructions furnished by Mascoat relating to the installation and use of the product(s) and Buyer agrees not to misuse, modify or misapply such product in any manner. Mascoat shall not be liable for Buyer’s failure to apply or use the product in accordance with such instructions. Buyer agrees to indemnify and hold Seller harmless from any and all claims, costs, liability, damages and expenses, including attorneys’ fees, against or incurred by Seller due to injuries to persons or property in connection with Buyer’s application or use of the product(s). Buyer acknowledges receipt of and familiarity with Mascoat’s labeling and literature concerning the product(s) and will forward such information to its employees who handle, process or sell such product(s) and to customers of such product(s), where applicable.

Human Rights
Our partners recognize the human rights of all people as outlined in the Universal Declaration on Human Rights and the UN Guiding Principles on Business and Human Rights. They take responsibility for avoiding infringement of human rights and for remediating the impact, if any, on human rights resulting from activities performed for us and from products made for us.

Environment and Community
Our partners comply with all relevant environmental laws and ensure that the necessary permits are in place. They are committed to the efficient use of raw materials, energy and other natural resources while minimizing waste, emission and noise. They care about the communities they operate in and listen to their concerns.

GOVERNING LAW

All sales are governed by the laws of the country, state, province, or territory of Mascoat’s home office in the United States of America, Houston, Texas, without application of conflict of law principles and Buyer irrevocably and unconditionally submits to the exclusive jurisdiction of the country, provincial or territorial courts in the country, province or territory of the location of Mascoat’s home office and waives to the fullest extent possible any defense of any inconvenient forum to the maintenance of such action or proceeding. THE PARTIES KNOWINGLY AND WILLINGLY WAIVE ANY RIGHT THEY HAVE UNDER APPLICABLE LAW TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS AND CONDITIONS OR THE ISSUES RAISED BY THAT DISPUTE. The United Nations Convention on Contracts for the International Sale of Goods and the United Nations Convention on the Limitation Period in the International Sale of Goods, as amended, shall not apply to the Contract.

Mascoat corporate headquarters and flagship facility is located in Houston, Texas, USA with global sales and distribution offices in Europe and China. This facility is the heart of our company, housing research and development, manufacturing, sales and marketing, accounting, testing and technical support. Centrally located for the fastest shipping domestically, Houston also provides same day access to the Houston Ship Channel and George Bush Intercontinental Airport. This allows Mascoat to ship anywhere in the world, quickly and efficiently.

All of Mascoat’s performance coatings are made in-house. We maintain stringent quality control processes at every step of the process, from receiving raw materials to manufacturing, and all the way through to loading product onto trucks for shipping. Mascoat takes quality control very seriously and customers can rest assured that our products will stay consistent from batch to batch.

Mascoat strives to develop new products that achieve our customers’ desired goals. With feedback from customers, distributors and employees, our R&D department is constantly working on performance, protection and durability enhancements to our product solutions. We know how Mascoat coatings perform because we test them to ensure their abilities. As the leading knowledge expert and industry contributor on insulating coatings, we work closely with AMPP (NACE/SSPC) to define performance characteristics of insulating coatings for both personnel protection and thermal efficiency.

Product testing is conducted in-house at our state of the art facility, and third-party laboratories are always sourced when appropriate. This ensures a seamless process with quality assurance that we are delivering the best products possible. One segment of our testing facility is entirely dedicated to product endurance - proving that our coatings have a long life, can withstand the brutal elements they are put up against in the real world, and can deliver consisten performance year after year.

We serve a wide variety of industries with coatings designed for unique needs in those areas; commercial, industrial, marine, automotive and more.

Our corporate headquarters and flagship production facility, located in Houston, Texas, includes a research and development lab, quality control facilities, product performance testing, thermal engineering department, production department, sales team and business development branch. From conception to delivery, our team controls the engineering, manufacturing and delivery of each coating in order to guarantee customer satisfaction and ensure product quality. All Mascoat products are tested to the highest standards and are proven to conserve energy, protect personnel and prevent corrosion.

In addition to providing a wide variety of coatings and customized product solutions, we can forecast how our product will perform in the field. Mascoat’s thermal engineering department evaluates environmental conditions, substrate geometry, product type and temperature requirements to provide clients with a Thermal Analysis Report that estimates required product quantity, efficiency improvements, personnel protection and energy savings.
