INTEGRITY
Honest Business Conduct
Mascoat expects that all our partners conduct business fairly and with integrity, the same way that we do. Like us, they will not make, offer or authorize bribes, or conduct any form of unethical business practice. They do not make facilitation payments of any kind. Entering into a business transaction for Mascoat and accepting certain terms and conditions may not be influenced by gifts or entertainment. Our employees and partners do not offer gifts or entertainment of more than modest value. They never offer cash or cash equivalents, such as gift cards, to our customers and other influencers in the buying process. Mascoat strictly adheres to the Foreign Corrupt Practices Act of 1977, the UK Bribery Act, and OECD Anti-corruption Convention, and other similar worldwide statutes. Anyone purchasing from us shall comply with all applicable laws and regulations, including but not limited to, the Foreign Corrupt Practices Act, the anti-money laundering provisions of the USA Patriot Act and Bank Secrecy Act, and United States export control laws. Buyers shall not sell, export, re-export, transmit, divert or otherwise transfer any goods or products into or through Cuba, Iran, Sudan, Syria, North Korea, Crimea or any other prohibited jurisdiction, or with or to any party listed on any United States Government or European Union blocked-persons list, as amended from time to time.
Trade Controls
It is essential that our partners comply with export control regulations applicable to their business and locale, and that they provide accurate and truthful information about it to customs and other authorities when required. They will identify and manage trade restrictions applicable to their business with Mascoat, including those of sanctioned countries and parties. We adhere strictly to rules and regulations set out in US Department of Justice and OFAC requirements.
Proper Communication
Factual and timely communication between Mascoat and our partners is essential to a strong relationship. They will not disclose our confidential information without permission, and we will not disclose theirs. They consider business communications carefully and ensure that they meet high standards.
SAFETY
People Safety
Like Mascoat, the workplace our partners provide must be safe. Employees and contractors must be made aware of safety rules and instructed to apply them at all times, while at work, visiting customers or travelling. There is a process in place to manage safety incidents.
Process Safety
It is important that our partners systematically assess and control the operational risks of hazards, injuries, waste or harm resulting from their activities for us, such as research, manufacture and transport. Their employees and contractors must follow safety procedures, and safety risks and incidents must be reported and controlled promptly.
Product Safety
Our partners must comply with product safety regulations, label products properly and communicate product-handling requirements. Products supplied to Mascoat, and the raw materials used to manufacture these products, meet all applicable product regulatory requirements.
Compliance With Instructions
Our business partners are expected to comply with all applicable instructions furnished by Mascoat relating to the installation and use of the product(s) and Buyer agrees not to misuse, modify or misapply such product in any manner. Mascoat shall not be liable for Buyer’s failure to apply or use the product in accordance with such instructions. Buyer agrees to indemnify and hold Seller harmless from any and all claims, costs, liability, damages and expenses, including attorneys’ fees, against or incurred by Seller due to injuries to persons or property in connection with Buyer’s application or use of the product(s). Buyer acknowledges receipt of and familiarity with Mascoat’s labeling and literature concerning the product(s) and will forward such information to its employees who handle, process or sell such product(s) and to customers of such product(s), where applicable.
SUSTAINABILITY
Human Rights
Our partners recognize the human rights of all people as outlined in the Universal Declaration on Human Rights and the UN Guiding Principles on Business and Human Rights. They take responsibility for avoiding infringement of human rights and for remediating the impact, if any, on human rights resulting from activities performed for us and from products made for us.
Environment and Community
Our partners comply with all relevant environmental laws and ensure that the necessary permits are in place. They are committed to the efficient use of raw materials, energy and other natural resources while minimizing waste, emission and noise. They care about the communities they operate in and listen to their concerns.
GOVERNING LAW
All sales are governed by the laws of the country, state, province, or territory of Mascoat’s home office in the United States of America, Houston, Texas, without application of conflict of law principles and Buyer irrevocably and unconditionally submits to the exclusive jurisdiction of the country, provincial or territorial courts in the country, province or territory of the location of Mascoat’s home office and waives to the fullest extent possible any defense of any inconvenient forum to the maintenance of such action or proceeding. THE PARTIES KNOWINGLY AND WILLINGLY WAIVE ANY RIGHT THEY HAVE UNDER APPLICABLE LAW TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS AND CONDITIONS OR THE ISSUES RAISED BY THAT DISPUTE. The United Nations Convention on Contracts for the International Sale of Goods and the United Nations Convention on the Limitation Period in the International Sale of Goods, as amended, shall not apply to the Contract.
